   1 SOFTWARE LICENSE AGREEMENT

   3 This is a legal agreement ("Agreement") between you, the end user
   4 ("User"), and Zurich Instruments ("ZI"), Zurich, Switzerland. By
   5 installing this software ("Software") you are agreeing to be bound by
   6 the terms of this agreement. If you do not agree to the terms of this
   7 agreement, immediately stop with the installation of this software on
   8 your computer.

  10 1. LICENSE GRANT. Zurich Instruments grants you a non-exclusive
  11 license to install and use the executable code of this Software. The
  12 intended use of this Software is in combination with an HF2, UHF or MF
  13 Series Instrument from Zurich Instruments. The use of this Software
  14 together with a different instrumentation is not covered by this
  15 grant. This Agreement will also govern any software upgrades provided
  16 by Zurich Instruments that replace and/or supplement the original
  17 Software, unless such upgrades are accompanied by a separate license,
  18 in which case the terms of that license will govern. The Software is
  19 licensed, not sold.

  21 2. RESTRICTIONS. The User shall not modify, alter, distribute, rent,
  22 lease, reverse-engineer, reverse-compile, license or sublicense, or
  23 re-sale the Software or any portions of it.

  25 3. TERMINATION. The license is effective until terminated. You may
  26 terminate it at any other time by deleting (de-installing) the
  27 Software and the related documentation from your computer. It will
  28 also terminate upon conditions set forth elsewhere in this Agreement
  29 or if you fail to comply with any term or condition of this Agreement.
  30 You agree upon such termination to delete the Software together with
  31 the related documentation.

  33 4. PROPRIETARY RIGHTS. This Product is owned by Zurich Instruments and
  34 is protected by Switzerland Laws and International Treaty provisions.
  35 Therefore, you must treat the software like any other copyrighted
  36 material (e.g. a book or musical recording) EXCEPT that you may make
  37 copies and install the software on any computer belonging to the same
  38 company, institution, or governement agency ("multiple-user license
  39 grant").

  41 5. LIMITED WARRANTY. The Software is provided by Zurich Instruments
  42 "as is". ZI warrants that the Software will perform substantially in
  43 accordance with the accompanying written documentation. These
  44 warranties do not guarantee that the Software will perform error-free
  45 or uninterrupted, or that all errors in the Software and documentation
  46 will be corrected. These warranties are exclusive and take the place
  47 of all other express or implied warranties or conditions including
  48 warranties or conditions of merchantability, satisfactory quality, and
  49 fitness for a particular purpose. ZI will provide updates
  50 (functionality extension and bug fixes) to the Software licensed
  51 hereunder in accordance with the internal release schedule. Neither
  52 party shall be liable for any indirect, incidental, special, punitive,
  53 or consequential damages, or any loss of profits, revenue, data, or
  54 data use deriving from the installation and use of this Software. This
  55 also holds if Zurich Instruments has been advised of the possibility
  56 of such damages.

  58 6. GENERAL. If any provision of this Agreement is declared void or
  59 unenforceable by any judicial authority, this shall not nullify the
  60 remaining provisions of the Agreement which shall remain in full force
  61 and effect.
