   1 End User License Agreement for QuickPage Software

   3 GRANT.

   5      Subject to the provisions contained herein, Qpage Solutions ("Author")
   6      hereby grants you a non-exclusive license to use its accompanying
   7      proprietary software product and associated documentation ("Software")
   8      free of charge pursuant to the terms and conditions of this Agreement.
   9      You are not entitled to support or telephone assistance in connection
  10      with your use of the Software.

  12 SOFTWARE AND DOCUMENTATION.

  14      The Author shall furnish the Software to you electronically in source
  15      code form. This license does not grant you any right to any enhancement
  16      or update to the Software and Documentation.

  18 USE RESTRICTIONS.

  20      You may use, copy, and modify the Software in source code or object
  21      code form, subject to the following conditions:

  23         o If the Software is modified, any Software containing
  24           modifications must prominently state in the modified product
  25           or documentation (i) that it has been modified, (ii) the
  26           identity of the person or entity that made the modifications,
  27           and (iii) the date the modifications were made.

  29         o Each copy of the Software made by you shall be subject to the
  30           terms of this Agreement and shall contain all of the Author's
  31           notices regarding copyrights, trademarks and other proprietary
  32           rights as contained in the Software originally provided to you.

  34         o The Software may not be transferred to any third party unless
  35           such third party receives a copy of this Agreement and agrees
  36           to be bound by all of its terms and conditions.

  38         o The Software or any modifications or derivations thereof may
  39           not be transferred to any third party under any other license
  40           agreement without prior written permission from the Author.

  42 TITLE.

  44      Title, ownership rights, and intellectual property rights in and to
  45      the Software shall remain with the Author.  The Software is protected
  46      by the copyright laws of the United States and international copyright
  47      treaties.

  49 CONTENT.

  51      Title, ownership rights, and intellectual property rights in and to
  52      the content accessed through the Software is the property of the
  53      applicable content owner and may be protected by applicable copyright
  54      or other law.  This License gives you no rights to such content.

  56 DISCLAIMER OF WARRANTY.

  58      Since the Software is provided free of charge, the Software is
  59      provided on an "AS IS" basis, without warranty of any kind, including
  60      without limitation the warranties of merchantability, fitness for a
  61      particular purpose and non-infringement. The entire risk as to the
  62      quality and performance of the Software is borne by you. Should the
  63      Software prove defective, you, and not the Author assume the entire
  64      cost of any service and repair. This disclaimer of warranty constitutes
  65      an essential part of the agreement.

  67 LIMITATION OF LIABILITY.

  69      UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR
  70      OTHERWISE, SHALL QPAGE SOLUTIONS OR ITS SUPPLIERS RESELLERS, OR
  71      LICENSEES BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY DIRECT,
  72      INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY
  73      CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL,
  74      STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  75      COMMERCIAL DAMAGES OR LOSSES, EVEN IF QPAGE SOLUTIONS SHALL HAVE BEEN
  76      INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY
  77      OTHER PARTY.

  79 EXPORT CONTROLS.

  81      You may not download or otherwise export or reexport the Software or
  82      any underlying information or technology except in full compliance
  83      with all United States and other applicable laws and regulations. By
  84      downloading or using the Software, you are agreeing to the foregoing.

  86 TERMINATION.

  88      This Agreement shall automatically terminate upon failure by you to
  89      comply with its terms, in which case you shall immediately discontinue
  90      the use of the Software and shall within ten (10) days return to the
  91      Author or destroy all copies of the Software.  You may also terminate
  92      this Agreement at any time by destroying the Software and all copies
  93      thereof.

  95 MISCELLANEOUS.

  97      This Agreement represents the complete and exclusive statement of the
  98      agreements concerning this license between the parties. It may be
  99      amended only by a writing executed by both parties. If any provision
 100      of this Agreement is held to be unenforceable for any reason, such
 101      provision shall be reformed only to the extent necessary to make it
 102      enforceable, and such decision shall not affect the enforceability (i)
 103      of such provision under other circumstances or (ii) of the remaining
 104      provisions hereof under all circumstances. Headings shall not be
 105      considered in interpreting this Agreement. This Agreement shall be
 106      governed by and construed under the laws of the State of California,
 107      except as governed by Federal law. This Agreement will not be governed
 108      by the United Nations Convention of Contracts for the International
 109      Sale of Goods, the application of which is hereby expressly excluded.
