26 PLEASE READ CAREFULLY BEFORE DOWNLOADING THE SOFTWARE OR USING THE PRODUCT(S)
31 It is important that you read the entirety of and understand this
32 document. There are, however, a few key points that we need to
35 NO ACCESS TO EMERGENCY SERVICES: The Software is not a replacement for
36 your ordinary mobile or fixed line telephone. In particular, apart from
37 in the very limited circumstances set out in paragraph 5.6 of these
38 Terms (applicable to Skype’s Internet Communications Software only),
39 the Software does not allow you to make emergency calls to emergency
40 services. You must make alternative communications arrangements to
41 ensure that you can make emergency calls if needed.
43 CHECK RESTRICTIONS ON USE: In some countries there are restrictions on
44 the use of the Software. It is your responsibility to ensure that you
45 are legally allowed to use the Software where you are located.
47 NO OWNERSHIP OF NUMBERS: If Skype allocates to you a Skype Number
48 (previously known as “Online Number”) or Skype To Go Number, you do not
49 own the number or have a right to retain that number forever. Skype may
50 need to change or withdraw the number allocated to you from time to
51 time. You will not transfer or attempt to transfer your Skype Number or
52 Skype To Go Number to anyone else. You must ensure you comply with any
53 allocation requirements displayed when purchasing a Skype Number as
54 failure to do so could result in the number being withdrawn. Please see
57 SKYPE CREDIT BECOMES INACTIVE AFTER 180 DAYS: If you purchase Skype
58 Credit please be aware that it becomes inactive after 180 days of
59 inactivity. Please see also paragraph 9.2.
61 ARBITRATION CLAUSE AND CLASS ACTION WAIVER: If you live in the USA and
62 select Pay by Mobile (see paragraph 20), a binding arbitration clause
63 and class action waiver affects your rights to resolve a dispute with
64 Skype, its corporate affiliates, or other third parties including
65 mobile phone carriers. Please read paragraph 20.3 carefully.
67 1. YOUR AGREEMENT WITH SKYPE
69 1.1 Skype’s internet communication software applications (“Internet
70 Communications Software”), other “Skype” branded software applications
71 (together the “Skype Software”), the “Qik” branded software
72 applications (“Qik Software”) and associated documentation (whether in
73 printed or electronic form) including any improvements, modifications,
74 enhancements, fixes, updates, upgrades and future versions thereto
75 (“Updates”) and whether made available for free or for a fee,
76 (collectively the “Software”) are licensed (not sold) to you by Skype
79 1.2 The features and products that are made available through the
80 Software for free (excluding products or features available for free on
81 a trial basis only) (“Free Products”) are provided to you by Skype
84 1.3 Any additional products or features of the Skype Software or Qik
85 Software, or other “Skype” or “Qik” branded products, that you pay for
86 (including products or features available for free on a trial basis
87 only) (“Paid For Products”) are provided to you by Skype Communications
90 1.4 “Skype Websites” means www.skype.com, www.qik.com (both of which
91 are operated by Skype Communications Sàrl) and any other websites
92 authorised by Skype which link to these Terms.
94 1.5 “Skype’’ means Skype Software Sàrl, 23 – 29 Rives de Clausen,
95 L-2165 Luxembourg or Skype Communications Sàrl, 23 – 29 Rives de
96 Clausen, L-2165 Luxembourg as the context requires;
97 “Products” means collectively the Free Products and Paid For Products;
98 “you” or “your” means you, the registered holder of the User Account
99 (as described in paragraph 6.1) and licensee under these Terms.
101 1.6 Your agreement with Skype is made up of the terms and conditions
102 set out in this document, together with any fair usage policies
103 described in this document and Additional Terms referred to in
104 paragraph 14 (collectively the “Terms”). To the extent of any
105 inconsistency between the fair usage policies or any Additional Terms
106 and this document, this document shall take precedence.
108 2. ACCEPTANCE OF THE TERMS
110 2.1 In order to download and/or use the Software, Products and/or Skype
111 Websites you must first accept these Terms. These Terms are accepted by
112 you (a) when you click to accept or agree to the Terms; or (b) when you
113 download and/or use the Software, Products and/or Skype Websites. We
114 advise you to print a copy of these Terms for your records. These Terms
115 remain effective from the date of acceptance until terminated by you or
116 Skype in accordance with paragraph 11.
118 2.2 You cannot accept these Terms if: (a) you are not lawfully entitled
119 to use the Software, Products and/or Skype Websites in the country in
120 which you are located or reside or (b) if you are not of legal age to
121 form a binding agreement with Skype.
123 2.3 In some countries the Products may be provided to you by Skype’s
124 local partner. If so, that local partner may ask you to accept its own
125 terms of service (“local terms”). If there is any inconsistency between
126 those local terms and these Terms, then the local terms shall govern to
127 the extent of that inconsistency.
130 3. CHANGES TO THE TERMS
132 3.1 Skype may make changes to these Terms from time to time. Skype will
133 publish the changes at www.skype.com/go/tou. Changes to the fair usage
134 policies and/or Additional Terms will be posted on the applicable Skype
135 Website. The changes will be effective when published. Please review
136 the Terms on a regular basis. You understand and agree that your
137 express acceptance of the Terms or your use of the Software, Products
138 and/or Skype Websites after the date of publication shall constitute
139 your agreement to the updated Terms. If you do not agree with the
140 amended Terms, you may terminate your relationship with Skype in
141 accordance with paragraph 11 below.
145 4.1 Licence. Subject to your compliance with these Terms, you are
146 granted a limited, non-exclusive, non-sublicensable, non-assignable,
147 free of charge license to download and install the Software on a
148 personal computer, mobile phone or other device; and personally use the
149 Software through your individual Skype or Qik user account (as
150 applicable) (“User Account”). For the avoidance of doubt, (a) IT
151 administrators working on behalf of a company may download and install
152 the Skype Software onto personal computers or other devices used by
153 personnel of such company; and (b) you are permitted to use the
154 Software at a university or other educational institution, or at work.
155 Skype reserves all rights not expressly granted to you under these
158 4.2 Restrictions. You may not and you agree not to:
160 (a) sub-license, sell, assign, rent, lease, export, import, distribute
161 or transfer or otherwise grant rights to any third party in the
164 (b) undertake, cause, permit or authorise the modification, creation of
165 derivative works or improvements, translation, reverse engineering,
166 decompiling, disassembling, decryption, emulation, hacking, discovery
167 or attempted discovery of the source code or protocols of the Software
168 or any part or features thereof (except to the extent permitted by
171 (c) remove, obscure or alter any copyright notices or other proprietary
172 notices included in the Software;
174 (d) use the Software or cause the Software (or any part of it) to be
175 used within or to provide commercial products or services to third
176 parties. The foregoing shall not preclude you using the Software for
177 your own business communications, subject to paragraph 4.1 above;
179 (e) other than for the purposes of download and installation, use the
180 Software except through your User Account.
182 4.3 Third-Party Technology. If you are using Software pre-loaded on,
183 embedded in, combined, distributed or used with or downloaded onto
184 third party products, hardware, software applications, programs or
185 devices (“Third-Party Technology”), you agree and acknowledge that: (a)
186 you may be required to enter into a separate licence agreement with the
187 relevant third party owner or licensor for the use of such Third-Party
188 Technology; (b) some Products and/or functionality may not be
189 accessible through the Third-Party Technology and (c) Skype cannot
190 guarantee that the Software shall always be available on or in
191 connection with such Third-Party Technology.
193 4.4 Third Party Notices. The Software may include third party code that
194 Skype, not the third party, licenses to you under this agreement.
195 Notices, if any, for the third party code are included for your
196 information only. Third party scripts, linked to, called or referenced
197 from the Software, are licensed to you by the third parties that own
198 such code, not by Skype.
200 5. USE OF THE SOFTWARE AND PRODUCTS AND SKYPE WEBSITES
202 5.1 Equipment: In order to use the Software and the Products you will
203 need an Internet broadband connection. You are responsible for
204 providing all equipment required to access the Internet or enable
205 communications such as headsets, microphones and webcams.
207 5.2 Use of Your Equipment: The Internet Communications Software may use
208 the processing capabilities, memory and bandwidth of the computer (or
209 other applicable device) you are using, for the limited purpose of
210 facilitating the communication and establishing the connection between
211 Internet Communications Software users. If your use of the Internet
212 Communications Software is dependent upon the use of a processor and
213 bandwidth owned or controlled by a third party, you acknowledge and
214 agree that your licence to use the Internet Communications Software is
215 subject to you obtaining consent from the relevant third party for such
216 use. You represent and warrant that by accepting these Terms, you have
217 obtained such consent.
219 5.3 Updates to the Software: Skype may automatically check your version
220 of the Skype Software. You may be required to enter into an updated
221 version of these Terms to be able to download or otherwise take
222 advantage of any Updates. Skype has no obligation to make available any
223 Updates. However, Skype may (a) require you to download and install
224 Updates; or (b) download and install Updates from Skype automatically
225 from time to time unless you have chosen (through your Skype client
226 settings) not to receive automatic Updates. Microsoft Corporation or
227 its affiliates and subsidiaries may also automatically download updates
228 to the Skype Software for Windows, if you have chosen to receive
229 Microsoft Updates. These updates are required to maintain software
230 compatibility, provide security updates or bug fixes, or offer new
231 features, functionality or versions. You agree to receive such updates
232 from Skype in order to continue using the Skype Software and you agree
233 to accept such Updates subject to these Terms.
235 5.4 Suspension, technical improvement and maintenance: From time to
236 time, Skype may need to perform maintenance on or upgrade the Software,
237 Products or Skype Websites or the underlying infrastructure that
238 enables you to use the Software, Products or Skype Websites. This may
239 require Skype to temporarily suspend or limit your use of some or all
240 of the Software, Products or Skype Websites until such time as this
241 maintenance and/or upgrade can be completed. To the extent possible and
242 unless an intervention is urgently required, Skype will publish the
243 time and date of such suspension or limitation on the Skype Website in
244 advance. You will not be entitled to claim damages for such suspension
245 or limitation of the use of any Software, Product or Skype Website.
247 5.5 No Access to Emergency Services: Neither the Products nor the
248 Software are intended to support or carry emergency calls to any type
249 of hospitals, law enforcement agencies, medical care unit or any other
250 kind of services that connect a user to emergency services personnel or
251 public safety answering points (“Emergency Services”). There are
252 important differences between traditional telephone services and the
253 Products. You acknowledge and agree that: (i) Skype is not required to
254 offer access to Emergency Services under any applicable local and/or
255 national rules, regulations or law; (ii) it is your responsibility to
256 purchase, separately from the Products, traditional wireless (mobile)
257 or fixed line telephone services that offer access to Emergency
258 Services, and (iii) the Software and the Products are not a replacement
259 for your primary telephone service. Find out more about calling 112,

263 5.6 Limited Emergency Calling (Internet Communications Software Only
264 and Not Applicable to the Qik Software)
266 5.6.1 In a very limited number of countries, and for defined Internet
267 Communications Software versions and platforms only, Skype will try to
268 provide limited emergency calling as a stand-alone feature but can
269 provide no commitment in this respect. Click here for the listing of
270 countries (“Enabled Countries”) and software versions and other
271 platforms (“Enabled Versions”) that enable limited Skype emergency
272 calling. Skype emergency calling is not available for any other
273 countries, versions or platforms. You should keep traditional wireless
274 (mobile) or fixed line telephone services available for your calls to
275 Emergency Services and use Skype’s limited emergency calling only as an
276 absolute last resort. In particular, please also note that:
278 (i) power cut, battery failure or internet connection failure can lead
279 to a Skype call failure, including your call to Emergency Services.
280 Additionally, any of the quality limitations set out in paragraph 5.9
281 below, may otherwise affect successful call connection.
283 (ii) where available, an emergency call made using the Internet
284 Communications Software in an enabled country may not receive the same
285 network priority as a call made using traditional wireless (mobile) or
286 fixed line telephone services.
288 (iii) if your emergency call is connected, you will need to tell the
289 Emergency Services operator that you speak to where you are physically
290 located so that the correct emergency organisation can respond to your
291 emergency and knows where to find you. If you do not provide this
292 information when prompted, you acknowledge that your emergency call may
293 not be completed and you will not be able to gain access to your
294 required Emergency Services using the Internet Communications Software.
295 Skype will have no liability for your failed emergency call in such
298 (iv) other than for the Enabled Countries and Enabled Versions, Skype
299 does not provide limited emergency calling in any country or for or in
300 conjunction with any Products or using any platforms, devices, services
301 or operating systems (including any products, platforms, devices,
302 services or operating systems developed by third parties using Skype’s
303 APIs, any of Skype’s software development kits or otherwise).
305 5.6.2 In Enabled Countries, you should configure the limited emergency
306 calling functionality by setting your default location for emergency
307 calling in the Call Settings page of your desktop Internet
308 Communications Software (if you are using a 4.1 version for Windows (or
309 later) or version 2.8 for Mac OS X (or later)). It is your
310 responsibility to ensure that this location information is correct and
311 kept up-to-date if your physical address changes. Skype does not
312 support emergency calls in the majority of countries around the world.
313 Where limited emergency calling is supported Skype will not charge you
314 to make an emergency call and you do not need to have a Skype Credit
315 balance. If however your country is not supported for limited emergency
316 calling then you should not attempt to, and agree not to, make any
317 emergency calls using your Internet Communications Software. If, with
318 your permission, another user uses your User Account, it is your
319 responsibility to inform that user of the limited circumstances in
320 which limited emergency calling is available.
322 5.7 Content of Communications: Skype is not the source of, does not
323 verify or endorse and takes no responsibility for the content of
324 communications made using the Software. By using the Software, you
325 agree that any content that you submit may be transmitted to the
326 recipient of your communication. The content of communications is
327 entirely the responsibility of the person from whom such content
328 originated. You therefore may be exposed to content that is offensive,
329 unlawful, harmful to minors, obscene, indecent or otherwise
330 objectionable. The content of communications may be protected by
331 intellectual property rights, which are owned by third parties. You are
332 responsible for the content you choose to communicate and access using
333 the Software. In particular, you are responsible for ensuring that you
334 do not submit material that is (i) copyrighted, protected by trade
335 secret or otherwise subject to third party proprietary rights,
336 including privacy and publicity rights, unless you are the owner of
337 such rights or have permission from their rightful owner (ii) a
338 falsehood or misrepresentation (iii) offensive, unlawful, harmful to
339 minors, obscene, defamatory, libellous, threatening, pornographic,
340 harassing, hateful, racially or ethnically offensive, or that
341 encourages conduct that would be considered a criminal offense, gives
342 rise to civil liability, violates any law, or is otherwise
343 objectionable; (iv) an advertisement or solicitation of business; or
344 (v) impersonating another person. Skype reserves the right (but shall
345 have no obligation) to review content for the purpose of enforcing
346 these Terms. Skype may in its sole discretion block, prevent delivery
347 of or otherwise remove the content of communications as part of its
348 effort to protect the Software, Products or its customers, or otherwise
349 enforce these Terms. Further, Skype may in its sole discretion remove
350 such content and/or terminate these Terms and your User Account if you
351 use any content that is in breach of these Terms.
353 5.8 Notice and Take-Down If Skype receives any notification that any
354 material that you post, upload, edit, host, share and/or publish on the
355 Skype Website or through the Software (excluding your private
356 communications) (“User Submission”) is inappropriate, infringes any
357 rights of any third party, or if Skype wishes to remove your User
358 Submission for any reason whatsoever, Skype reserves the right to
359 automatically remove such User Submission for any reason immediately or
360 within such other timescales as may be decided from time to time by
361 Skype in its sole discretion. The User Submission shall be taken down
362 without any admission as to liability and without prejudice to any
363 rights, remedies or defenses, all of which are expressly reserved. You
364 acknowledge and agree that Skype is under no obligation to put back
365 such User Submission at any time. If User Submissions infringe, or if
366 you believe that User Submissions infringe any of your rights
367 (including intellectual property rights) or are unlawful, please
368 contact us immediately by following our notice and takedown procedure.

370 the right to ask for verification of your identity and to seek further
371 information to verify your complaint. You agree that you are solely
372 responsible for the consequences resulting from your complaint
373 (including but not limited to removal or blocking of the User
374 Submission) and you acknowledge and agree that any complaint may be
375 used in court proceedings. Any false, misleading or inaccurate
376 information provided by you may result in civil and criminal liability.
378 5.9 Quality: Skype cannot guarantee that the Software, Products or
379 Skype Websites will always function without disruptions, delay or
380 errors. A number of factors may impact the quality of your
381 communications and use of the Software, Products (depending on the
382 Products used) or Skype Websites, and may result in the failure of your
383 communications including but not limited to: your local network,
384 firewall, your internet service provider, the public internet, the
385 public switched telephone network and your power supply. Skype takes no
386 responsibility for any disruption, interruption or delay caused by any
387 failure of or inadequacy in any of these items or any other items over
388 which we have no control.
390 5.10 Changes to Products: Skype is constantly improving the Software
391 and Products and may also need to change technical features from time
392 to time in order to comply with applicable regulations. Accordingly,
393 you acknowledge and agree that the Products and functionality of the
394 Software may vary from time to time. Technical requirements for use of
395 Products and Software and feature descriptions are available on the
396 Skype Website. If you do not agree with any changes to Software and
397 Products you may terminate your relationship with Skype in accordance
398 with paragraph 11. You may need to upgrade to a new version in order to
399 enjoy the benefit of certain Products. In addition, you acknowledge and
400 agree that certain Products may be subject to usage limits or
401 geographical restrictions, which may vary from time to time. Please
402 check the Skype Website for details of the most up-to-date usage
403 restrictions that apply to the Products that you are using.
405 5.11 Unsolicited Ideas Skype does not consider or accept unsolicited
406 proposals or ideas, including without limitation ideas for new
407 products, technologies, promotions, product names, product feedback and
408 product improvements (“Unsolicited Feedback”). If you send any
409 Unsolicited Feedback to Skype through the Skype Website or otherwise,
410 you acknowledge and agree that Skype shall not be under any obligation
411 of confidentiality with respect to the Unsolicited Feedback.
413 5.12 Reports Certain parts of the Skype Websites or the Software may
414 ask for written suggestions or problem reports such as using our
415 contact form or problem report form (“Reports”). Please read carefully
416 any specific terms, which govern those Reports. The Reports shall be
417 deemed the property of Skype. Skype shall exclusively own all now known
418 or hereafter existing rights to the Reports throughout the universe in
419 perpetuity and shall be entitled to use the Reports for any purpose
420 whatsoever, commercial or otherwise, without compensation to the
421 provider of the Reports. Any Reports you send to Skype will not be
422 treated as confidential and Skype shall not be liable for any
423 disclosure of the Reports.
425 5.13 Linking You may link to the Skype Website from another website
426 owned by you, provided you do so in a way that is fair and legal and
427 does not damage our reputation or take advantage of it. You must not
428 establish a link in such a way as to suggest any form of association,
429 approval or endorsement by Skype where none exists. You may not frame
430 the Site on any other site. Skype provides a Qik branded embeddable
431 flash player feature which you may incorporate into your own personal,
432 non-commercial website for use in accessing the materials on the Qik
433 branded Skype Website. Skype may revoke the permission to link to the
434 Skype Websites at any time at its sole discretion and will notify you
439 6.1 User Account. Prior to your first use of the Skype Software and
440 your first use of the Qik Software, you will be asked to create a User
441 Account and choose a user ID and password. We recommend that you choose
442 a password that is hard to guess and consists of letters, numbers and
443 symbols. You may only use the Software through your User Account. You
444 are solely responsible and liable for all activities conducted through
445 your User Account. To prevent unauthorised use, you shall keep your
446 password confidential and shall not share it with any third party or
447 use it to access third party websites or services. If you suspect that
448 someone else knows your password, then you shall immediately change it
449 in order to protect the security of your User Account. It is your
450 responsibility to ensure that you do not respond to any unsolicited
451 requests for credit card details, passwords or other data. Skype takes
452 no responsibility for your failure to comply with the obligations in
455 6.2 Lawful Use: You must use the Software, Products and Skype Websites
456 in accordance with the laws of where you are located. In some countries
457 there are restrictions on the download and use of the Software,
458 Products and/or Skype Websites. It is your responsibility to ensure
459 that you are legally allowed to use the Software, Products and/or Skype
460 Websites where you are located.
462 6.3 Prohibited Use: You may not:
464 (a) intercept or monitor, damage or modify any communication which is
465 not intended for you;
467 (b) use any type of spider, virus, worm, trojan-horse, time bomb or any
468 other codes or instructions that are designed to distort, delete,
469 damage, emulate or disassemble the Software, Products, Skype Websites,
470 communication or protocols;
472 (c) send unsolicited communications (also referred to as “SPAM”, “SPIM”
473 or “SPIT”) or any communication not permitted by applicable law or use
474 the Software, Products or Skype Websites for the purposes of phishing
475 or pharming or impersonating or misrepresenting affiliation with
476 another person or entity;
478 (d) expose any third party to material which is offensive, harmful to
479 minors, indecent or otherwise objectionable in any way;
481 (e) use the Software, Products or Skype Websites to cause or intend to
482 cause embarrassment or distress to, or to threaten, harass or invade
483 the privacy of, any third party; or
485 (f) use (including as part of your User ID and/or profile picture) any
486 material or content that is subject to any third party proprietary
487 rights, unless you have a licence or permission from the owner of such
490 (g) collect or harvest any personally identifiable information,
491 including account names, from the Software, Products or Skype Websites;
493 (h) impact or attempt to impact the availability of the Software,
494 Products or Skype Websites for example, with a denial of service (DOS)
495 or distributed denial of service (DDoS) attack;
497 (i) use or launch any automated system, including without limitation,
498 robots, spiders or offline readers that access the Software, Products
499 or Skype Websites. Notwithstanding the foregoing, you agree that Skype
500 grants to the operators of public search engines permission to use
501 spiders to copy materials from the Skype Website for the sole purpose
502 of creating publicly available searchable indices of the materials, but
503 not caches or archives of such materials. Skype reserves the right to
504 revoke these exceptions at any time.
506 6.4 User Submissions Please exercise respect when participating in any
507 features of the Skype Websites or Software such as Forums, Blogs, email
508 functions, video hosting, sharing and/or publishing or any other
509 function on the Skype Websites or of the Skype Software which allows
510 you to post, upload, edit, host, share and/or publish content. You
511 acknowledge and agree that: (i) by using the Skype Websites and/or
512 Software you may be exposed to content that you may find offensive or
513 indecent and you do so at your own risk; (ii) you are solely
514 responsible for, and Skype has no responsibility to you or any third
515 party for any User Submissions that you create, submit, post or publish
516 on the Skype Websites or through the Software; (iii) Skype does not
517 guarantee any confidentiality with respect to User Submissions, whether
518 or not they are published (iv) Skype is not responsible for any User
519 Submissions that you may have access to through your use of the Skype
520 Websites or Software and all User Submissions are the responsibility of
521 the person from whom such User Submissions originated. Skype does not
522 endorse any User Submissions or any opinion, recommendation, or advice
523 expressed therein, and expressly disclaims any and all liability in
524 connection with User Submissions.
526 In connection with your User Submissions, you represent and warrant
529 (i) own or have the necessary licenses, rights, consents, and
530 permissions to use and authorise Skype to use all copyrights, trade
531 marks, trade secrets, patents and other intellectual property or
532 proprietary rights in and to any and all User Submissions in accordance
533 with these Terms; and
535 (ii) you have the written consent, release and /or permission of each
536 and every identifiable individual person in the User Submission to use
537 the name and/or likeness of each and every such individual in the User
538 Submission, to enable inclusion and use thereof in the manner
539 contemplated by these Terms. You shall not copy, post or use text,
540 photos, pictures, music, sounds, images or any other content from any
541 third party or source (“Third Party Content”) without specific
542 permission from the owner. Such Third Party Content may be protected by
543 intellectual property laws and the owners of the intellectual property
544 rights in such content may object to its use. You must not use any
545 Third Party Content without first obtaining the permission of the owner
546 of the intellectual property rights in such content.
548 Notwithstanding any rights or obligations governed by the Additional
549 Terms (as defined below) if, at any time you choose to upload or post
550 User Submissions to the Skype Websites or through the Software
551 (excluding Reports and excluding the content of your communications)
552 you automatically grant Skype a non-exclusive, worldwide, irrevocable,
553 royalty-free, perpetual, sub-licensable and transferable license of all
554 rights to use, edit, modify, include, incorporate, adapt, record,
555 publicly perform, display, transmit and reproduce the User Submissions
556 including, without limitation, all trade marks associated therewith, in
557 connection with the Skype Websites and Skype’s Software and Products
558 including for the purpose of promoting or redistributing part or all of
559 the Skype Websites and/or the Software or Products, in any and all
560 media now known or hereafter devised. You also hereby grant each user
561 of the Skype Website and/or Skype’s Software or Products a
562 non-exclusive license to access your User Submission through the Skype
563 Website and/or Software or Products and to use, copy, distribute,
564 prepare derivative works of, display, perform and transmit such User
565 Submissions solely as permitted through the functionality of the Skype
566 Websites and/or Software or Products and pursuant to these Terms of
567 Use. In addition, you waive any so-called “moral rights” in and to the
568 User Submissions, to the extent permitted by applicable law.
570 You may not submit or publish through the Skype Website or Software any
571 User Submissions that are libelous, defamatory, pornographic,
572 harassing, hateful, an invasion of privacy, obscene, abusive, illegal,
573 racist, offensive, harmful to a minor or an infringement of any
574 intellectual property rights or a trade secret of a third party, or
575 would otherwise violate the rights of any third party or give rise to
576 civil or criminal liability. Furthermore, you may not submit or publish
577 User Submissions that contain falsehoods or misrepresentations, solicit
578 funds or services, contain advertising, promotional materials, junk
579 mail, spam, chain letters or any form of solicitation, impersonate
580 others or include programs that contain viruses or any other programs
581 designed to impair the functionality of any computer. You agree not to
582 solicit, for commercial purposes, any users of the Skype Website or
583 Software with respect to their User Submissions. You agree not to
584 circumvent, disable or otherwise interfere with the security related
585 features of the Skype Website or Software or features that prevent or
586 restrict the use of any content thereof.
588 6.5 Your Information: From time to time, Skype may request information
589 from you for the purpose of supplying the Software or Products to you.
590 You shall ensure that any such information is complete, up-to-date and
593 6.6 No Reselling. The Software and Products are for your individual
594 use. You shall not resell or commercialise the Software and/or Products
597 6.7 Export Restrictions: The Software may be subject to international
598 rules that govern the export of software. You shall comply with all
599 applicable international and national laws that apply to the Software
600 as well as end-user, end-use, destination restrictions issued by
601 national governments or similar bodies, and restrictions on embargoed
602 nations. In the US the Internet Communications Software is controlled
603 under ECCN 5D992 of the Export Administration Regulations (“EAR”) under
604 Encryption Registration Number (“ERN”) R100351 and thus may not be
605 exported or re exported from the US to or downloaded by any person in
606 any countries controlled for anti terrorism reasons under the EAR,
607 which include Iran, North Korea, Cuba, Syria and Sudan. Moreover, the
608 Internet Communications Software may not be exported or re exported
609 from the US to or downloaded by any person or entity subject to US
610 sanctions regardless of location. See

612 736. Skype is making the Software available to you for download only on
613 the condition that you certify that you are not such a person or entity
614 and that the download is not otherwise in violation of US export
615 control and sanctions regulations.
617 7. PROPRIETARY RIGHTS
619 7.1 The Software, Products and Skype Websites contain proprietary and
620 confidential information that is protected by intellectual property
623 7.2 The content and compilation of content included on the Skype
624 Websites, (excluding User Submissions) such as sounds, text, graphics,
625 logos, icons, images, audio clips, digital downloads and software, are
626 the property of Skype, its affiliates or licensors and are protected by
627 United States and international copyright laws. Such copyright
628 protected content cannot be reproduced without Skype’s express
629 permission. You may download and make personal, non-commercial use of
630 User Submissions on www.qik.com that are displayed with a “download” or
631 similar link. Skype reserves all rights not expressly granted in the
634 7.3 Skype and/or its licensors retain exclusive ownership of the
635 Software, Products and Skype Websites and all intellectual property
636 therein (whether or not registered and anywhere in the world). You will
637 not take any action to jeopardise, limit or interfere with Skype’s
638 intellectual property rights in the Software, Products and/or Skype
641 7.4 “Skype”, associated trademarks and logos and the “S” logo are
642 trademarks of Skype. Skype has registered and filed applications to
643 register its trademarks in many countries worldwide. Skype’s trademarks
644 and trade dress may not be used in connection with any product or
645 service that is not Skype’s, in any manner that is likely to cause
646 confusion among customers, or in any manner that disparages or
647 discredits Skype. All other trademarks not owned by Skype or any of its
648 related companies that appear on this site are the property of their
649 respective owners. You are not permitted to and shall not register or
650 use any trade name, trademark, logo, domain name or any other name or
651 sign that incorporates any of Skype’s intellectual property (in whole
652 or part) or that is confusingly similar thereto. Please also see
653 Skype’s Trademark Guidelines for further details on use of its marks.
657 8.1 Calling phones and premium rate numbers with Skype Credit:
659 (i) Calling landlines and mobiles: The charges payable for calling
660 phones (outside of a subscription) consist of a connection fee (charged
661 once, per call) and a per-minute rate as set out on
662 www.skype.com/go/allrates. All calls will be disconnected and require a
663 re-dial after a 4-hour duration and an additional connection fee will
664 be charged on re-dial.
666 (ii) Premium rate numbers: The charges payable for calling premium rate
667 numbers consist of a per-minute rate available at
668 www.skype.com/go/rates-premium. No connection fee is payable.
670 (iii) Skype may change the rates for calling phones and premium rate
671 numbers at any time without notice to you by posting such change at
672 www.skype.com/go/allrates. The new rate will apply to your next
673 purchase after the new rates have been published. Please check the
674 latest rates before you make your call. If you do not accept the new
675 rates, do not make your call.
677 (iv) The duration of a call shall be based on one-minute increments.
678 Fractions of minutes will be rounded up to the next minute. The
679 connection fee, where applicable, will be charged at the beginning of
680 the call. At the end of a call, fractional cent charges will be rounded
681 up to the nearest whole cent, for example a total call price of €0.034
682 will be rounded up to €0.04. During the call, charges incurred will be
683 deducted automatically from the Skype Credit balance in your User
686 8.2 Charges for other Paid For Products: The charges for other Paid For
687 Products will be confirmed to you before you complete a purchase from
688 Skype. Skype may change the charges payable for the purchase of such
689 Products at any time without any notice to you. You can choose whether
690 or not to accept the new charges prior to completing your next purchase
691 of the applicable Product. The new charges will apply to your next
692 purchase after the new charges have been published.
694 8.3 Promotional Offers: From time to time, Skype may offer Paid-For
695 Products for free for a trial period. Skype reserves the right to
696 charge you for such Products (at the normal rate) in the event that
697 Skype determines (in its reasonable discretion) that you are abusing
698 the terms of the offer, including if you are using any service, proxy
699 or other devices or anonymous IP address that prevents us from locating
702 8.4 Tax: Skype may collect VAT or other indirect taxes at the
703 appropriate rate (as per applicable tax rules) at the time of purchase
704 of Skype Credit. 15% Luxembourg VAT generally applies if you are
705 located in the EU and the Products are purchased and used in the EU. 8%
706 Swiss VAT applies if you are located in Switzerland. Other local taxes
707 may apply in certain countries. When you purchase a voucher or pre-paid
708 card, depending on the country, 15% Luxembourg VAT, local VAT or other
709 taxes may apply and may be deducted from the value of the voucher or
710 prepaid card upon redemption. You explicitly waive any right to VAT
711 reimbursement from Skype if the amount of VAT ultimately payable by the
712 latter to the tax authorities would for any reason be lower than the
713 amount of VAT collected from you at the time of purchase. Your Skype
714 Credit balance is displayed exclusive of any such taxes. The
715 territories in the EU set out below are outside the scope of EU VAT
716 under Council Directive 2006/112/EC on the common system of VAT, as
717 amended. The Skype Website does not enable users in such territories to
718 take advantage of this VAT exemption and we therefore do not provide
719 the Products in such territories: Mount Athos, Canary Islands, French
720 Overseas Departments, Aland Islands, Channel Islands, Heligoland
721 Island, Büsingen / Buesingen Territory, Ceuta, Melilla, Livigno,
722 Campione d'Italia and Italian Waters of Lake Lugano.
724 8.5 Third-Party Charges: Using the Software on mobile applications will
725 use some of the data allowance available on the data package to which
726 you have subscribed with your mobile network operator. Out-of-country
727 usage may lead to significantly higher costs than regular usage, and
728 you are solely responsible for keeping yourself informed and paying for
729 possible roaming and other applicable charges levied by your mobile
734 9.1 Skype Credit. You can pay for select Paid-For Products using Skype
735 Credit. You can purchase Skype Credit using any payment method made
736 available to you by Skype from time to time. The Skype Credit that you
737 purchase will be credited to your User Account at the time of purchase
738 (or if you are using a Skype Credit voucher, at the time you redeem
741 9.2 Inactive Skype Credit. If you do not use your Skype Credit for a
742 period of 180 days, (including Skype Credit that has been allocated to
743 you by a Skype Manager administrator) Skype will place your Skype
744 Credit on inactive status. You can reactivate the Skype Credit by
745 following the reactivation link in My Account at
746 https://secure.skype.com/account/credit-reactivate. Reactivated Skype
747 Credit is not refundable. If you are located in Japan and you buy Skype
748 Credit from the Skype Website, this paragraph does not apply to you and
749 your Skype Credit shall expire 6 months from the date of purchase. You
750 are not permitted to use any Skype Credit on or after the date of its
753 9.3 Other payment methods. Skype does not guarantee that you will be
754 able to use your Skype Credit balance to purchase all Products. Where
755 Skype Credit cannot be used to pay for a Product, Skype will make
756 another payment method available to you. Skype reserves the right to
757 remove or amend the available payment methods at its sole discretion.
759 9.4 Recurring Payments. Where you purchase Products on a subscription
760 basis (monthly, every 3 months or annually (as applicable)), you
761 acknowledge and agree that this is a recurring payment and payments
762 shall be made to Skype by the method you have chosen at the recurring
763 intervals chosen by you, until the subscription for that Product is
764 terminated by you or by Skype.
768 (a) The Auto-Recharge feature will be automatically enabled when you
769 buy Skype Credit, unless you untick the appropriate box. Your Skype
770 Credit balance will be recharged with the same amount and by the same
771 payment method chosen when you first sign up for Auto-Recharge, unless
772 you subsequently change the amount by accessing your User Account. For
773 example, if you purchase 10 Euros of Skype Credit with your credit
774 card, the recharge amount charged to your credit card will also be 10
775 Euros of Skype Credit. In future the same amount will be charged to
776 your credit card every time your Skype account balance goes below the
777 threshold set by Skype from time to time. If you do not want to enable
778 Auto-Recharge, please untick the box.
780 (b) If you purchased a subscription with a payment method other than
781 credit card, PayPal or Moneybookers (Skrill), and you have enabled
782 Auto-Recharge, your Skype Credit balance will be recharged with the
783 amount necessary to purchase your next recurring subscription.
785 (c) You can disable Auto-Recharge at any time by accessing your User
790 10.1 When you purchase Paid-For-Products directly from Skype you will
791 be entitled to a cancellation period of fifteen (15) days (a
792 “Cooling-Off Period”) unless you have made use of the Paid-For-Products
793 in any way, in which case the Cooling-Off Period will be extinguished
794 and your purchase cannot be cancelled or refunded.
796 10.2 Outside of the Cooling-Off Period, only subscriptions are
797 refundable unless used or expired.
799 10.3 Expenditure of Skype Credit, allocation of a Skype Number, or use
800 of any aspect of a subscription amounts to “use” of a Paid-For-Product.
801 You hereby expressly agree that Skype Numbers may be allocated before
802 the end of the Cooling-Off Period.
804 10.4 The Cooling-Off Period and refunds do not apply to
805 Paid-For-Products that are (i) purchased via a third party partner of
806 Skype (please contact the partner directly, who may decide in its sole
807 discretion whether or not to pay a refund), (ii) not directly acquired
808 online from Skype (e.g. vouchers or pre-paid cards) (iii) paid for in
809 cash using third party payment methods (such as a cash payment wallet)
810 and (iv) paid for and allocated to your Skype Account by a Skype
811 Manager administrator. They also do not apply to Membership of Skype
814 10.5 If you believe that Skype has charged you in error, you must
815 contact Skype within 90 days of such charge. No refunds will be given
816 for any charges more than 90 days old.
818 10.6 Skype reserves the right to refuse a refund request if it
819 reasonably believes (i) that you are trying to unfairly exploit this
820 refund policy, for example, by making repetitive refund requests in
821 respect of the same Product; (ii) if you are in breach of these Terms
822 or (iii) if Skype reasonably suspects that you are using our Products
823 or Software fraudulently or that your User Account is being used by a
824 third party fraudulently.
826 10.7 This refund policy does not affect your statutory rights.
828 11. ENDING YOUR RELATIONSHIP WITH SKYPE
830 11.1 You may terminate your relationship with Skype at any time and
831 without recourse to the courts by requesting closure of your User
832 Account, ceasing to use the Software, Products and/or Skype Websites
833 and cancelling any recurring payments.
835 11.2 Skype may terminate its relationship with you, or may terminate or
836 suspend your use of the Software, User Account(s), Products or Skype
837 Websites at any time and without recourse to the courts:
839 (a) if you are in breach of these Terms;
841 (b) if Skype reasonably suspects that you are using the Software, the
842 Products and/or Skype Websites to break the law or infringe third party
845 (c) if Skype reasonably suspects that you are trying to unfairly
846 exploit or misuse the refund policy, or any of our policies.
848 (d) if Skype reasonably suspects that you are using our Products,
849 Software and/or Skype Websites fraudulently or that your User Account
850 is being used by a third party fraudulently;
852 (e) if you have purchased Skype Credit from an unauthorised reseller;
854 (f) in respect of a particular Product, on thirty (30) days notice if
855 Skype decides to cease offering that Product;
857 (g) immediately, if required due to a change in laws/regulation by a
858 regulator or authority with a lawful mandate, or by any of Skype’s
861 (h) on thirty (30) days notice if Skype decides to cease offering the
862 Software to users in your jurisdiction generally.
864 11.3 Skype shall effect such termination by preventing your access to
865 your User Account, the Software, Products and/or Skype Websites (as
866 applicable). We reserve the right to cancel User Accounts that have
867 been inactive for more than one (1) year.
869 11.4 Consequences of Termination: Upon termination of your relationship
870 with Skype: (a) all licenses and rights to use the Software, Products
871 and/or Skype Websites shall immediately terminate; (b) you will
872 immediately cease any and all use of the Software, Products and/or
873 Skype Websites; and (c) you will immediately remove the Software from
874 all hard drives, networks and other storage media and destroy all
875 copies of the Software in your possession or under your control.
877 12. EXCLUSION OF WARRANTIES, LIMITATION OF LIABILITY AND INDEMNITY
879 12.1 For the purposes of this paragraph 12, "Skype" includes its
880 subsidiary companies and affiliated legal entities and all their
881 directors, officers, agents, licensors and employees.
883 12.2 No Warranties: TO THE MAXIMUM EXTENT PERMITTED BY LAW: THE
884 SOFTWARE, PRODUCTS AND SKYPE WEBSITES ARE PROVIDED “AS IS” AND USED AT
885 YOUR SOLE RISK WITH NO WARRANTIES WHATSOEVER; SKYPE DOES NOT MAKE ANY
886 WARRANTIES, CLAIMS OR REPRESENTATIONS AND EXPRESSLY DISCLAIMS ALL SUCH
887 WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, WITH
888 RESPECT TO THE SOFTWARE, PRODUCTS AND/OR SKYPE WEBSITES INCLUDING,
889 WITHOUT LIMITATION, WARRANTIES OR CONDITIONS OF QUALITY, PERFORMANCE,
890 NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR USE FOR A PARTICULAR
891 PURPOSE. SKYPE FURTHER DOES NOT REPRESENT OR WARRANT THAT THE SOFTWARE,
892 PRODUCTS AND/OR SKYPE WEBSITES WILL ALWAYS BE AVAILABLE, ACCESSIBLE,
893 UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE AND ERROR-FREE OR
894 WILL OPERATE WITHOUT PACKET LOSS, NOR DOES SKYPE WARRANT ANY CONNECTION
895 TO OR TRANSMISSION FROM THE INTERNET, OR ANY QUALITY OF CALLS MADE
896 THROUGH THE SOFTWARE.
898 12.3 Nothing in these Terms shall exclude or restrict Skype's liability
899 for (a) death or personal injury, (b) loss resulting from Skype's
900 wilful default or gross negligence, (c) fraud or deliberate
901 misrepresentation, or (d) any liability which cannot be limited or
902 excluded by applicable law.
904 12.4 No Liability: YOU ACKNOWLEDGE AND AGREE THAT SKYPE WILL HAVE NO
905 LIABILITY WHATSOEVER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE)
906 OR ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE POSSIBILITY OF
907 SUCH DAMAGES OR LOSSES HAS BEEN NOTIFIED TO SKYPE, IN CONNECTION WITH
908 OR ARISING FROM YOUR USE OF SKYPE WEBSITES, OR THE INTERNET
909 COMMUNICATIONS SOFTWARE OR OTHER SOFTWARE THAT IS PROVIDED FREE OF
910 CHARGE. YOUR ONLY RIGHT OR REMEDY WITH RESPECT TO ANY PROBLEMS OR
911 DISSATISFACTION WITH SUCH SOFTWARE AND/OR SKYPE WEBSITES IS TO
912 IMMEDIATELY DEINSTALL SUCH SOFTWARE AND CEASE USE OF SUCH SOFTWARE
913 AND/OR SKYPE WEBSITES.
915 12.5 Limitation of Liability: Subject to paragraphs 12.3 and 12.4
916 above, Skype shall not be liable to you, whether in contract, tort
917 (including negligence) or any other theory of liability, and whether or
918 not the possibility of such damages or losses has been notified to
921 (a) any indirect, special, incidental or consequential damages; or
923 (b) any loss of income, business, actual or anticipated profits,
924 opportunity, goodwill or reputation (whether direct or indirect); or
926 (c) any damage to or corruption of data (whether direct or indirect);
928 (d) any claim, damage or loss (whether direct or indirect ) arising
931 (i) your inability to use the Software to contact Emergency Services;
933 (ii) your failure to make additional arrangements to access Emergency
934 Services in accordance with paragraph 5.5 above;
936 (iii)the service limitations set out in paragraph 5.6;
938 (iv)your failure to provide accurate physical location information to
939 an Emergency Services operative; or
941 (v)conduct of third party Emergency Services operatives and calling
942 centres to which you may be connected.
944 (e) any claim, damage or loss (whether direct or indirect) arising from
947 (i) any product or service provided by a third party under their own
948 terms of service, including without limitation, Skype WiFi;
950 (ii) any Third Party Technology;
952 (iii) any third party website.
954 12.6 Subject to paragraphs 12.3 - 12.5 above, Skype’s total liability
955 to you under or in connection with these Terms (whether in contract,
956 tort (including negligence) or any other theory of liability)) SHALL
957 NOT EXCEED IN AGGREGATE THE AMOUNT PAID BY YOU FOR THE PRODUCTS IN THE
958 12 MONTH PERIOD IMMEDIATELY PRIOR TO THE DATE OF THE EVENT GIVING RISE
959 TO THE RELEVANT CLAIM, SUBJECT TO A MAXIMUM OF FIVE THOUSAND EUROS IN
962 12.7 If any third party brings a claim against Skype in connection
963 with, or arising out of (i) your breach of these Terms; (ii) your
964 breach of any applicable law of regulation; (iii) your infringement or
965 violation of the rights of any third parties (including intellectual
966 property rights); (iv) your User Submissions or (v) your complaint in
967 relation to any User Submission, you will indemnify and hold Skype
968 harmless from and against all damages, liability, loss, costs and
969 expenses (including reasonable legal fees and costs) related to such
972 13. THIRD-PARTY WEBSITES, PRODUCTS AND SERVICES
974 13.1 Third parties may offer products or services via the Software
975 and/or Skype Websites, including games, applications, images, ring
976 tones, or avatars. Whilst Skype takes no responsibility for such
977 products or services, if you encounter any problems with payment for or
978 download, use of installation of such products or services, Skype will
979 use commercially reasonable endeavours to assist or resolve the
980 problems. The third party products or services may be subject to the
981 third party provider’s own terms and privacy policy that you may have
982 to accept upon download or installation. You should review such terms
983 before making any purchase or using any third party product or service
984 and Skype shall not be responsible for your failure to do so.
986 13.2 You acknowledge and agree that any third-party product information
987 and pricing that is shown on the Skype Websites regarding third-party
988 products and services is given to Skype by the applicable third-party
989 merchant (“Merchant”). The Merchant has the ability to change its
990 pricing or terminate its product availability at anytime. Skype is not
991 involved in any transactions between you and any Merchant whose
992 products and/or services are listed on the Skype Websites. Skype does
993 not control, is not responsible for and does not guarantee: (i) the
994 pricing, quality, performance, availability or terms and conditions of
995 purchase of products or services provided by the Merchant; (ii) any
996 payment transactions, delivery, returns or after sales activities
997 related to the products or services purchased on the Merchants’
998 websites; (iii) the availability of the Merchant’s websites; (iv) the
999 completeness, truth or accuracy of any advertising or other materials
1000 on, or available from, the Merchants’ websites, nor any listing or
1001 other content about such products and services displayed on the Skype
1002 Websites; (v) links to the Merchants’ websites that are featured on the
1003 Skype Websites. Any questions, complaints, or claims related to any
1004 product or service provided by a Merchant should be directed to the
1005 applicable Merchant.
1007 13.3 The Software and Skype Websites may include hyperlinks to other
1008 third party websites. Skype is not responsible for such third party
1009 websites or the availability of such websites and does not endorse any
1010 content or material on such third party websites. Your use of each of
1011 these third party websites is subject to the terms and conditions
1012 posted on the applicable website.
1014 14. ADDITIONAL TERMS
1016 14.1 The Skype Etiquette provides guidelines on how to use Skype and
1017 how to treat the other members of Skype’s community properly and
1018 respectfully. Please read these guidelines carefully which form part of
1021 14.2 If you want to use the Internet Communications Software in
1022 connection with any Broadcast, you must comply with the Broadcast TOS
1023 at http://www.skype.com/legal/broadcast
1025 14.3 Software Development Kits and APIs. Software development kits
1026 provided through Skype Developer on the Skype Website (including
1027 “SkypeKit”) and the use of any application program interface (“API”)
1028 exposed or made available by Skype are subject to their own licensing
1029 terms in which case such licensing terms will govern your use of that
1030 software. If you use any such software development kit or API (as
1031 applicable) you agree that you have read and will comply with the
1032 applicable licensing terms, which are available on
1033 http://developer.skype.com/.
1035 14.4 Qik Free and Open Source Software Notice is incorporated herein by
1038 15. YOUR CONFIDENTIAL INFORMATION AND YOUR PRIVACY
1040 Skype is committed to respecting your privacy and the confidentiality
1041 of your personal information. We will process your personal
1042 information, the traffic data and the content of your communication(s)
1043 in accordance with our Privacy Policy: http://www.skype.com/go/privacy.
1045 16. FOR GOVERNMENT USERS ONLY
1047 The Software and Documentation are “commercial computer software” and
1048 “commercial computer software documentation,” respectively, as such
1049 terms are used in United States Federal Acquisition Regulations
1050 paragraph 12.212. Any use, duplication or disclosure of the Software or
1051 the Documentation by or on behalf of the U.S. Government is subject to
1052 restrictions as set forth in this Agreement.

1062 17.3 If you contact Skype by any means other than as set out in
1063 paragraphs 17.1 or 17.2, your request may not be acknowledged.
1067 18.1 You agree to the use of electronic communication in order to enter
1068 into contracts, place orders, and create other records and to the
1069 electronic delivery of notices, policies and changes thereto and
1070 records of transactions with Skype.
1072 18.2 For your convenience, Skype may provide you with a translation of
1073 the English language version of these Terms. In the event of any
1074 inconsistency between a non-English version of these Terms and the
1075 English version, the English version shall govern your relationship
1078 18.3 These Terms constitute the entire agreement between you and Skype
1079 with respect to your use of the Software, Products and/or Skype
1080 Websites and replace any prior agreements between you and Skype with
1081 respect to the Software, Products and/or Skype Websites.
1083 18.4 If any provision of these Terms (or part of it), is found by any
1084 court or administrative body of competent jurisdiction or an arbitrator
1085 to be illegal, invalid or unenforceable, then such provision (or part
1086 of it) shall be removed from the Terms without affecting the legality,
1087 validity or enforceability of the remainder of the Terms. Paragraph
1088 20.3(i) says what happens if parts of paragraph 20.3 (arbitration and
1089 class action waiver) are found to be illegal, invalid or unenforceable.
1090 Paragraph 20.3(i) prevails over this paragraph if inconsistent with it.
1092 18.5 The failure by Skype to exercise, or delay in exercising, a legal
1093 right or remedy provided by these Terms or by law shall not constitute
1094 a waiver of Skype’s right or remedy. If Skype waives a breach of these
1095 Terms, this shall not operate as a waiver of a subsequent breach of the
1098 18.6 You may not assign these Terms or any rights or obligations
1099 contained in them. Skype may, without prior notice, assign these Terms
1100 or any rights or obligations contained in them to any third party.
1102 18.7 This paragraph 18, along with paragraphs, 4.2, 12, 20.3 and any
1103 other provisions, which are expressed or clearly intended to survive or
1104 operate in the event of termination, shall survive termination of the
1107 18.8 You acknowledge and agree that if Skype is unable to provide the
1108 Software, Products and/or Skype Websites as a result of a force majeure
1109 event, Skype will not be in breach of any of its obligations towards
1110 you under these Terms. A force majeure event means any event beyond the
1113 18.9 These Terms other than paragraph 20.3 shall be governed by and
1114 interpreted in accordance with the laws of Luxembourg and shall be
1115 subject to the jurisdiction of the courts of the district of
1116 Luxembourg. Paragraph 20.3 is governed by the United States Federal
1119 18.10 AVC/H.264 NOTICE: If the Software is used to make video calls (i)
1120 between a personal computer and a device that is not a personal
1121 computer or (ii) between devices that are not personal computers, the
1122 AVC/H.264 codec may be used to facilitate video functionality in which
1123 case the following notice applies: THE AVC VIDEO FUNCTIONALITY IN THIS
1124 PRODUCT IS LICENSED UNDER THE AVC PATENT PORTFOLIO LICENSE FOR THE
1125 PERSONAL AND NON-COMMERCIAL USE OF A CONSUMER TO (i) ENCODE VIDEO IN
1126 COMPLIANCE WITH THE AVC STANDARD (“AVC VIDEO”) AND/OR (ii) DECODE AVC
1127 VIDEO THAT WAS ENCODED BY A CONSUMER ENGAGED IN A PERSONAL AND
1128 NON-COMMERCIAL ACTIVITY AND/OR WAS OBTAINED FROM A VIDEO PROVIDER
1129 LICENSED TO PROVIDE AVC VIDEO. NO LICENSE IS GRANTED OR SHALL BE
1130 IMPLIED FOR ANY OTHER USE. ADDITIONAL INFORMATION MAY BE OBTAINED FROM
1131 MPEG LA, L.L.C. SEE www.mpegla.com.
1133 19. PRODUCT SPECIFIC TERMS
1135 19.1 Skype Numbers (previously known as “Online Numbers”) and Skype To
1138 (a) Availability and use. Where we provide you with a Skype Number or
1139 Skype To Go number, you agree that:
1141 (i) you do not own the number or have a right to retain that number
1144 (ii) the number provided to you is subject to applicable numbering
1145 rules and regulatory practices;
1147 (iii) you will comply on an ongoing basis with any specific number
1148 allocation requirements that we make you aware of, or any reasonable
1149 instructions that Skype or Skype’s partners may give to you with regard
1150 to the use of the numbers and the Products;
1152 (iv) you will not transfer or attempt to transfer your number to any
1153 third party. In particular, you are responsible for compliance with any
1154 requirements related to residency and or location; and
1156 (v) you will supply accurate, complete and up-to-date information to us
1157 where we request it and inform us where such information changes. Skype
1158 reserves the right to change the terms related to Skype Numbers and/or
1159 Skype To Go numbers, including without limitation to impose or amend
1160 any residency requirements and/or require the provision of further user
1161 information for continued access to such numbers. In certain countries,
1162 a number may be made available to you by a Skype partner rather than
1163 Skype, and you may need to enter into a separate agreement with such
1166 (b) Other changes to numbers. If Skype needs to withdraw or change the
1167 number that has been made available to you, Skype will use commercially
1168 reasonable endeavours to notify you by e-mail, stating the effective
1169 date of the change and where possible, your new number. If you do not
1170 wish to accept this new number, you are entitled to terminate your
1173 19.2 User Account on Skype Manager
1175 (a) You are not permitted to belong to more than one Skype Manager at
1178 (b) Any Skype Number purchased before 21 July 2009 and allocated to you
1179 by a Skype Manager administrator shall be taken back by the
1180 administrator of the Skype Manager, if you leave the Skype Manager
1181 account for any reason. The right to use the number and the
1182 cancellation of such right rest with the Skype Manager administrator at
1183 his/her sole discretion and not you.
1185 (c) Personal and traffic data – Members. As a member of a Skype Manager
1186 account you acknowledge and agree that the administrator of the Skype
1187 Manager may, if you agree, view detailed information about the activity
1188 on your User Account including the time, date, duration and destination
1189 number of calls and SMS made and details of your purchases and
1190 downloads. You can withdraw your agreement at any time by changing the
1191 settings on your User Account. If you provide personal data including
1192 your name and job title to be included on the Skype Manager directory,
1193 you acknowledge that other members of that Skype Manager may view such
1198 (a) Fair Usage Policy. At Skype, we want all of our customers to get
1199 the best calling plans, known as ‘subscriptions’, at the lowest
1200 possible price. This Fair Usage Policy ("FUP") is designed to prevent
1201 fraud and abuse of our subscriptions by a small number of users.
1203 Subject to this FUP, Skype’s unlimited subscriptions allow unlimited
1204 calls to landlines in the applicable subscription countries (excluding
1205 special, premium, service and non-geographic numbers). Unlimited calls
1206 to mobiles may also be included where stated at the time of purchase.
1207 All calls will be disconnected and require a re-dial after a 2-hour
1210 Skype’s subscriptions are for individual use only (personal or business
1211 communications) in accordance with our Terms of Use and this FUP
1212 (“Legitimate Use”). The following is a non-exhaustive list of practices
1213 that would not be considered Legitimate Use:
1215 (i) Using subscriptions for telemarketing or call centre operations;
1217 (ii) Re-selling subscription minutes;
1219 (iii) Sharing subscriptions between users whether via a PBX, call
1220 centre, computer or any other means;
1222 (iv) Calling numbers (whether singly, sequentially or automatically) to
1223 generate income for yourself or others as a result of merely placing
1224 the call, other than for your individual business communications (and
1225 subject to paragraph 4.1 of the Terms of Use); and
1227 (v) Unusual calling patterns inconsistent with normal, individual
1228 subscription use, for example, regular calls of short duration or calls
1229 to multiple numbers in a short period of time.
1231 Other practices may be relevant in determining Legitimate Use and Skype
1232 reserves the right to take any unlawful, prohibited, abnormal or
1233 unusual activity into account in making its determination. Skype may at
1234 its option, terminate its relationship with you, or may suspend your
1235 subscription immediately if it determines you are using your
1236 subscription contrary to this FUP or Skype’s Terms of Use. Where
1237 reasonable, Skype will provide you with notice of improper usage before
1238 suspension or termination of your subscription and, if appropriate,
1239 Skype may offer you an alternative subscription.
1241 (b) Skype reserves the right to withdraw or change the subscriptions at
1242 any time. If Skype changes the Products included in your subscription,
1243 Skype will notify you by email stating the changes and their effective
1244 date. If you do not wish to accept these changes, you are entitled to
1245 terminate your subscription, with effect from the date on which the
1246 changes are due to take effect.
1248 (c) The “Unlimited World Extra” subscription has a minimum fixed term
1249 of 2 years from the date of purchase. You are not permitted to
1250 terminate it before the expiry of the 2-year minimum term except in
1251 case of breach by Skype of the Terms. This subscription is billed
1252 monthly as a recurring payment.
1256 Skype WiFi is provided by one of Skype’s WiFi partners. Your use of
1257 Skype WiFi is subject to that partner’s terms of service. Before you
1258 start a Skype WiFi session at a specific WiFi hotspot, you will be
1259 notified of the identity of the WiFi provider and their terms of
1260 service. You will have to read their terms of service, which you agree
1261 to be subject to by proceeding with the Skype WiFi session. You can pay
1262 for Skype WiFi using your Skype Credit balance, and your use of Skype
1263 Credit is subject to these Terms of Service.
1267 Each SMS message has a limit of 160 characters. If you type a longer
1268 message it will be broken down into several SMS messages and you will
1269 be charged for each message sent. If you send SMS messages to more than
1270 one person you will be charged for each SMS sent to each recipient. If
1271 Skype cannot (for whatever reason) send your SMS, Skype will continue
1272 to try and send the message for up to 24 hours after which time the SMS
1273 charge will be refunded to your Skype Credit balance automatically if
1274 delivery is unsuccessful.
1276 19.6 Group Video Calling
1278 (a) A fair usage policy applies at www.skype.com/go/terms.gvc.fairusage
1279 and is incorporated herein by reference. Skype reserves the right to
1280 change the fair usage policy at any time. Changes shall become
1281 effective when published on the Skype Website. Your continued use of a
1282 Skype Premium Subscription after publication on the Skype Website shall
1283 constitute your acceptance to be bound by the terms and conditions of
1284 the revised fair usage policy.
1286 (b) Number of Participants. The number of permitted participants on a
1287 group video call varies from 3 to a maximum of 10, subject to system
1288 requirements. You can find more details at
1289 www.skype.com/go/skypepremium.
1291 (c) Audio Conversion. If a Skype Premium Subscription or Day Pass
1292 expires during a group video call, or it has exceeded the fair usage
1293 limit, or the owner of the Skype Premium Subscription leaves the call
1294 (and there is no other participant on the call who owns a Skype Premium
1295 Subscription), then the call will convert from video to audio.
1297 (d) Software Versions. If a participant of a group video call is not on
1298 a version of Internet Communications Software that supports group video
1299 calls, then the call will be an audio call only for that participant.

1303 (e) Live chat. Live chat customer support is available as part of the
1304 Skype Premium Subscription. This support is available 24 hours a day,
1305 every day, and only in English.
1307 19.7 Qik Premium Fair Usage Policy
1309 Qik Premium is subject to a fair usage policy of 15GB of video storage
1310 per user per month and each video can be no more than 90 minutes in
1311 duration. Once these limits have been reached you cannot upload any new
1312 videos in that month or continue recording beyond the 90-minute mark.
1314 Skype reserves the right to change the fair usage policy at any time.
1315 Changes shall become effective when published on the Skype Website.
1316 Your continued use of Qik Premium after publication on the Skype
1317 Website shall constitute your acceptance to be bound by the terms and
1318 conditions of the revised fair usage policy.
1320 19.8 Skype Video Messaging (“Video Messaging”)
1322 If you are not a Skype Premium subscriber, the number of Video Messages
1323 you can send are limited and will be subject to an expiry date.
1325 Fair Use Policy: This FUP is designed to prevent fraud and abuse of
1326 Video Messaging. Video Messaging is for personal, individual and
1327 non-commercial use only, and to be in accordance with these Terms at
1328 all times (“Legitimate Use”). Skype reserves the right to take any
1329 unlawful, prohibited, abnormal or unusual activity into account in
1330 making its determination as to whether your activity does not
1331 constitute Legitimate Use. Skype may in its option, terminate its
1332 relationship with you, or suspend your account immediately if it
1333 determines you are using Video Messaging contrary to this FUP or these
1338 20.1 This section applies if you select a third-party payment system
1339 that enables you to pay for Skype Credit and certain Paid for Products
1340 via your mobile phone bill where applicable (“Pay by Mobile”).
1342 20.2 By selecting or using Pay by Mobile:
1344 (a) You authorise your mobile phone carrier to charge appropriate fees
1345 directly to your mobile phone bill; and
1347 (b) You represent that you are the person or entity responsible for the
1348 mobile phone account associated with the mobile number you provide when
1349 using Pay by Mobile, or are authorised by that person or entity to
1352 20.3 BINDING ARBITRATION AND CLASS ACTION WAIVER FOR UNITED STATES
1353 ACCOUNTS. If you select Pay by Mobile and your mobile phone account is
1354 registered with a mobile phone carrier in the USA or you reside in the
1355 USA, the following additional terms apply:
1357 (a) Paragraph 20.3 applies to any dispute arising between you and
1358 either Skype or any third party including mobile phone carriers and
1359 Skype’s corporate affiliates (collectively, “Disputed Party” or
1360 “Disputed Parties”) relating to your use of Pay by Mobile, EXCEPT IT
1361 DOES NOT INCLUDE A DISPUTE RELATING TO THE ENFORCEMENT OR VALIDITY OF
1362 YOUR, SKYPE’S, OR EITHER OF OUR LICENSORS’ INTELLECTUAL PROPERTY
1363 RIGHTS. Dispute, for purposes of paragraph 20.3, means any dispute,
1364 action, or other controversy whether in contract, warranty, tort,
1365 statute, regulation, ordinance, or any other legal or equitable basis.
1366 Dispute will be given the broadest possible meaning allowable under
1369 (b) In the event of a dispute, you must provide Skype or other Disputed
1370 Party with a Notice of Dispute, which is a written statement of the
1371 name, address and contact information of the party giving it, the facts
1372 giving rise to the dispute, and the relief requested. You must send any
1373 Notice of Dispute to Skype or its corporate affiliate at ATTN: Legal
1374 Department, Microsoft Corporation One Microsoft Way Redmond, WA
1375 98052-7329. and to any other Disputed Party at its principal place of
1376 business in the USA, marked ATTN: Legal Department. The Disputed Party
1377 will send any Notice of Dispute to your address if it has it, or
1378 otherwise to your e-mail address on file. You and the Disputed Party
1379 will attempt to resolve any dispute through informal negotiation within
1380 60 days from the date the Notice of Dispute is sent, after which you or
1381 the Disputed Party may commence arbitration.
1383 (c) You may also litigate any dispute in a small claims court in your
1384 county of residence, if the dispute meets all requirements to be heard
1385 in the small claims court. You may litigate in a small claims court
1386 whether or not you negotiated informally first.
1388 (d) Binding Arbitration. If you and a Disputed Party do not resolve any
1389 dispute by informal negotiation or in small claims court, any other
1390 effort to resolve the dispute will be conducted exclusively by binding
1391 arbitration governed by the United States Federal Arbitration Act
1392 (“FAA”). You are giving up the right to litigate (or participate in as
1393 a party or class member) all disputes in court before a judge or jury.
1394 Instead, all disputes will be resolved before a neutral arbitrator,
1395 whose decision will be final except for a limited right of appeal under
1396 the FAA. Any court with jurisdiction over the parties may enforce the
1399 (e) Class Action Waiver. Any proceedings to resolve or litigate any
1400 dispute in any forum will be conducted solely on an individual basis.
1401 Neither you nor a Disputed Party will seek to have any dispute heard as
1402 a class action, private attorney general action, or in any other
1403 proceeding in which either party acts or proposes to act in a
1404 representative capacity. No arbitration or proceeding will be combined
1405 with another without the prior written consent of all parties to all
1406 affected arbitrations or proceedings.
1408 (f) Any arbitration will be conducted by the American Arbitration
1409 Association (the “AAA”) under its Commercial Arbitration Rules. If you
1410 are an individual and use the Software or Products for personal or
1411 household use, or if the value of the dispute is $75,000 USD or less
1412 whether or not you are an individual or how you use them, its
1413 Supplementary Procedures for Consumer-Related Disputes will also apply.
1414 For more information, see adr.org or call +1-800-778-7879. In a dispute
1415 involving $75,000 USD or less, Skype will promptly reimburse your
1416 filing fees and pay the AAA’s and arbitrator’s fees. You and Skype
1417 agree to the terms governing procedures, fees and incentives at
1418 go.microsoft.com/fwlink/?linkid=275219. To commence arbitration,
1419 submit the form available at go.microsoft.com/fwlink/?linkid=275627 to
1420 the AAA. You agree to commence arbitration only in your county of
1421 residence, in Santa Clara County, California, or another Disputed
1422 Party’s principal place of business in the USA. Skype and other
1423 Disputed Parties agree to commence arbitration only in your county of
1426 (g) To the extent permitted by law, any claim or dispute relating to
1427 your use of Pay by Mobile must be filed within one year in small claims
1428 court (paragraph 20.3(c)) or in arbitration (paragraph 20.3(d)). The
1429 one-year period begins when the claim or dispute first could be filed.
1430 If such a claim or dispute is not filed within one year, it is
1433 (h) Rejecting Future Arbitration Changes. You may reject any change
1434 Skype makes to paragraph 20.3 (other than address changes) by sending
1435 us notice within 30 days of the change by U.S. Mail to the address in
1436 paragraph 20.3(b). If you do, the most recent version of paragraph 20.3
1437 before the change you rejected will apply.
1439 (i) If the class action waiver in paragraph 20.3(e) is found to be
1440 illegal, invalid or unenforceable as to all or some parts of a dispute,
1441 then paragraph 20.3 will not apply to those parts. Instead, those parts
1442 will be severed and proceed in a court of law, with the remaining parts
1443 proceeding in arbitration. If any other provision of paragraph 20.3 is
1444 found to be illegal, invalid or unenforceable, that provision will be
1445 severed with the remainder of paragraph 20.3 remaining in full force
1448 YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND UNDERSTAND
1449 THE RIGHTS, OBLIGATIONS, TERMS AND CONDITIONS SET FORTH HEREIN. BY
1450 CLICKING ON THE ACCEPT BUTTON AND/OR CONTINUING TO INSTALL THE SOFTWARE
1451 OR USE THE SOFTWARE, PRODUCTS AND/OR SKYPE WEBSITES, YOU EXPRESSLY
1452 CONSENT TO BE BOUND BY ITS TERMS AND CONDITIONS AND GRANT TO SKYPE THE
1453 RIGHTS SET FORTH HEREIN.
