   3 End User License Agreement for pstotext Software

   5    GRANT.
   6           Subject to the provisions contained herein, Digital Equipment
   7           Corporation ("Digital") hereby grants you a non-exclusive
   8           license to use its accompanying proprietary software product
   9           and associated documentation ("Software") free of charge
  10           pursuant to the terms and conditions of this Agreement. You are
  11           not entitled to support or telephone assistance in connection
  12           with your use of the Software.

  14    SOFTWARE AND DOCUMENTATION.
  15           Digital shall furnish the Software to you electronically or on
  16           media in source code form. This license does not grant you any
  17           right to any enhancement or update to the Software and
  18           Documentation.

  20    USE RESTRICTIONS.
  21           You may use, copy, modify, and distribute the Software in
  22           source code or object code form, subject to the following
  23           conditions:

  25           + If the Software is modified, any Software containing
  26             modifications must prominently state in the modified product
  27             or documentation (i) that it has been modified, (ii) the
  28             identity of the person or entity that made the modifications,
  29             and (iii) the date the modifications were made.
  30           + Each copy of the Software made by you shall be subject to the
  31             terms of this Agreement and shall contain all of Digital's
  32             notices regarding copyrights, trademarks and other
  33             proprietary rights as contained in the Software originally
  34             provided to you.
  35           + The Software may not be transferred to any third party unless
  36             such third party receives a copy of this Agreement and agrees
  37             to be bound by all of its terms and conditions.

  39    TITLE.
  40           Title, ownership rights, and intellectual property rights in
  41           and to the Software shall remain in Digital and/or its
  42           suppliers. The Software is protected by the copyright laws of
  43           the United States and international copyright treaties.

  45    CONTENT.
  46           Title, ownership rights, and intellectual property rights in
  47           and to the content accessed through the Software is the
  48           property of the applicable content owner and may be protected
  49           by applicable copyright or other law. This License gives you no
  50           rights to such content.

  52    DISCLAIMER OF WARRANTY.
  53           Since the Software is provided free of charge, the Software is
  54           provided on an "AS IS" basis, without warranty of any kind,
  55           including without limitation the warranties of merchantability,
  56           fitness for a particular purpose and non-infringement. The
  57           entire risk as to the quality and performance of the Software
  58           is borne by you. Should the Software prove defective, you, and
  59           not Digital assume the entire cost of any service and repair.
  60           This disclaimer of warranty constitutes an essential part of
  61           the agreement.

  63    LIMITATION OF LIABILITY.
  64           UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT,
  65           CONTRACT, OR OTHERWISE, SHALL DIGITAL OR ITS SUPPLIERS
  66           RESELLERS, OR LICENSEES BE LIABLE TO YOU OR ANY OTHER PERSON
  67           FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL
  68           DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES
  69           FOR LOSS OF GOODWILL, STOPPAGE, COMPUTER FAILURE OR
  70           MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES,
  71           EVEN IF DIGITAL SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF
  72           SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

  74    EXPORT CONTROLS.
  75           You may not download or otherwise export or reexport the
  76           Software or any underlying information or technology except in
  77           full compliance with all United States and other applicable
  78           laws and regulations. By downloading or using the Software, you
  79           are agreeing to the foregoing.

  81    TERMINATION.
  82           This Agreement shall automatically terminate upon failure by
  83           you to comply with its terms, in which case you shall
  84           immediately discontinue the use of the Software and shall
  85           within ten (10) days return to Digital or destroy all copies of
  86           the Software. You may also terminate this Agreement at any time
  87           by destroying the Software and all copies thereof.

  89    MISCELLANEOUS.
  90           This Agreement represents the complete and exclusive statement
  91           of the agreements concerning this license between the parties.
  92           It may be amended only by a writing executed by both parties.
  93           If any provision of this Agreement is held to be unenforceable
  94           for any reason, such provision shall be reformed only to the
  95           extent necessary to make it enforceable, and such decision
  96           shall not affect the enforceability (i) of such provision under
  97           other circumstances or (ii) of the remaining provisions hereof
  98           under all circumstances. Headings shall not be considered in
  99           interpreting this Agreement. This Agreement shall be governed
 100           by and construed under the laws of the Commonwealth of
 101           Massachusetts, except as governed by Federal law. This
 102           Agreement will not be governed by the United Nations Convention
 103           of Contracts for the International Sale of Goods, the
 104           application of which is hereby expressly excluded.

 106    U.S. Government Restricted Rights.
 107           Use, duplication or disclosure by the Government is subject to
 108           restrictions set forth in subparagraphs (a) through (d) of the
 109           Commercial Computer-Restricted Rights clause at FAR 52 227-19
 110           when applicable, or in subparagraph (c) (1) (ii) of the Rights
 111           in Technical Data and Computer Software clause at DFARS
 112           252.227-7013, and in similar clauses in the NASA FAR
 113           Supplement. Contractor/manufacturer is Digital Equipment
 114           Corporation.
