   1 CNRI OPEN SOURCE LICENSE AGREEMENT FOR QUIXOTE-2.4

   3 IMPORTANT: PLEASE READ THE FOLLOWING AGREEMENT CAREFULLY.  BY COPYING,
   4 INSTALLING OR OTHERWISE USING QUIXOTE-2.4 SOFTWARE, YOU ARE DEEMED TO
   5 HAVE AGREED TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE
   6 AGREEMENT.

   8 1. This LICENSE AGREEMENT is between Corporation for National Research
   9 Initiatives, having an office at 1895 Preston White Drive, Reston, VA
  10 20191 ("CNRI"), and the Individual or Organization ("Licensee")
  11 copying, installing or otherwise using Quixote-2.4 software in source
  12 or binary form and its associated documentation ("Quixote-2.4").

  14 2. Subject to the terms and conditions of this License Agreement, CNRI
  15 hereby grants Licensee a nonexclusive, royalty-free, world-wide
  16 license to reproduce, analyze, test, perform and/or display publicly,
  17 prepare derivative works, distribute, and otherwise use Quixote-2.4
  18 alone or in any derivative version, provided, however, that CNRI's
  19 License Agreement and CNRI's notice of copyright, i.e., "Copyright ©
  20 2005 Corporation for National Research Initiatives; All Rights
  21 Reserved" are retained in Quixote-2.4 alone or in any derivative
  22 version prepared by Licensee.

  25 3. In the event Licensee prepares a derivative work that is based on
  26 or incorporates Quixote-2.4, or any part thereof, and wants to make
  27 the derivative work available to others as provided herein, then
  28 Licensee hereby agrees to include in any such work a brief summary of
  29 the changes made to Quixote-2.4.

  31 4. CNRI is making Quixote-2.4 available to Licensee on an "AS IS"
  32 basis.  CNRI MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR
  33 IMPLIED.  BY WAY OF EXAMPLE, BUT NOT LIMITATION, CNRI MAKES NO AND
  34 DISCLAIMS ANY REPRESENTATION OR WARRANTY OF MERCHANTABILITY OR FITNESS
  35 FOR ANY PARTICULAR PURPOSE OR THAT THE USE OF QUIXOTE-2.4 WILL NOT
  36 INFRINGE ANY THIRD PARTY RIGHTS.

  38 5. CNRI SHALL NOT BE LIABLE TO LICENSEE OR ANY OTHER USERS OF
  39 QUIXOTE-2.4 FOR ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR
  40 LOSS AS A RESULT OF MODIFYING, DISTRIBUTING, OR OTHERWISE USING
  41 QUIXOTE-2.4, OR ANY DERIVATIVE THEREOF, EVEN IF ADVISED OF THE
  42 POSSIBILITY THEREOF.

  44 6. This License Agreement will automatically terminate upon a material
  45 breach of its terms and conditions.

  47 7. This License Agreement shall be governed by the federal
  48 intellectual property law of the United States, including without
  49 limitation the federal copyright law, and, to the extent such
  50 U.S. federal law does not apply, by the law of the Commonwealth of
  51 Virginia, excluding Virginia's conflict of law
  52 provisions. Notwithstanding the foregoing, with regard to derivative
  53 works based on Quixote-2.4 that incorporate non-separable material
  54 that was previously distributed under the GNU General Public License
  55 (GPL), the law of the Commonwealth of Virginia shall govern this
  56 License Agreement only as to issues arising under or with respect to
  57 Paragraphs 4, 5, and 7 of this License Agreement. Nothing in this
  58 License Agreement shall be deemed to create any relationship of
  59 agency, partnership, or joint venture between CNRI and Licensee.  This
  60 License Agreement does not grant permission to use CNRI trademarks or
  61 trade name in a trademark sense to endorse or promote products or
  62 services of Licensee, or any third party.

  64 8. By copying, installing or otherwise using Quixote-2.4, Licensee
  65 agrees to be bound by the terms and conditions of this License
  66 Agreement.
