129 webcast) of the Work if that performance is primarily intended
130 for or directed toward commercial advantage or private monetary
132 ii. Mechanical Rights and Statutory Royalties. Licensor reserves the
133 exclusive right to collect, whether individually or via a music
134 rights agency or designated agent (e.g. Harry Fox Agency),
135 royalties for any phonorecord You create from the Work ("cover
136 version") and distribute, subject to the compulsory license
137 created by 17 USC Section 115 of the US Copyright Act (or the
138 equivalent in other jurisdictions), if Your distribution of such
139 cover version is primarily intended for or directed toward
140 commercial advantage or private monetary compensation.
142 e. Webcasting Rights and Statutory Royalties. For the avoidance of doubt,
143 where the Work is a sound recording, Licensor reserves the exclusive
144 right to collect, whether individually or via a performance-rights
145 society (e.g. SoundExchange), royalties for the public digital
146 performance (e.g. webcast) of the Work, subject to the compulsory
147 license created by 17 USC Section 114 of the US Copyright Act (or the
148 equivalent in other jurisdictions), if Your public digital performance
149 is primarily intended for or directed toward commercial advantage or
150 private monetary compensation.
152 5. Representations, Warranties and Disclaimer
154 UNLESS OTHERWISE MUTUALLY AGREED BY THE PARTIES IN WRITING, LICENSOR
155 OFFERS THE WORK AS-IS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY
156 KIND CONCERNING THE WORK, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE,
157 INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTIBILITY,
158 FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR THE ABSENCE OF
159 LATENT OR OTHER DEFECTS, ACCURACY, OR THE PRESENCE OF ABSENCE OF ERRORS,
160 WHETHER OR NOT DISCOVERABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION
161 OF IMPLIED WARRANTIES, SO SUCH EXCLUSION MAY NOT APPLY TO YOU.
163 6. Limitation on Liability. EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE
164 LAW, IN NO EVENT WILL LICENSOR BE LIABLE TO YOU ON ANY LEGAL THEORY FOR
165 ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES
166 ARISING OUT OF THIS LICENSE OR THE USE OF THE WORK, EVEN IF LICENSOR HAS
167 BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
171 a. This License and the rights granted hereunder will terminate
172 automatically upon any breach by You of the terms of this License.
173 Individuals or entities who have received Collective Works from You
174 under this License, however, will not have their licenses terminated
175 provided such individuals or entities remain in full compliance with
176 those licenses. Sections 1, 2, 5, 6, 7, and 8 will survive any
177 termination of this License.
178 b. Subject to the above terms and conditions, the license granted here is
179 perpetual (for the duration of the applicable copyright in the Work).
180 Notwithstanding the above, Licensor reserves the right to release the
181 Work under different license terms or to stop distributing the Work at
182 any time; provided, however that any such election will not serve to
183 withdraw this License (or any other license that has been, or is
184 required to be, granted under the terms of this License), and this
185 License will continue in full force and effect unless terminated as
190 a. Each time You distribute or publicly digitally perform the Work or a

206 here. Licensor shall not be bound by any additional provisions that
207 may appear in any communication from You. This License may not be
208 modified without the mutual written agreement of the Licensor and You.
211 Creative Commons is not a party to this License, and makes no warranty
212 whatsoever in connection with the Work. Creative Commons will not be
213 liable to You or any party on any legal theory for any damages
214 whatsoever, including without limitation any general, special,
215 incidental or consequential damages arising in connection to this
216 license. Notwithstanding the foregoing two (2) sentences, if Creative
217 Commons has expressly identified itself as the Licensor hereunder, it
218 shall have all rights and obligations of Licensor.
220 Except for the limited purpose of indicating to the public that the
221 Work is licensed under the CCPL, neither party will use the trademark
222 "Creative Commons" or any related trademark or logo of Creative
223 Commons without the prior written consent of Creative Commons. Any
224 permitted use will be in compliance with Creative Commons'
225 then-current trademark usage guidelines, as may be published on its
226 website or otherwise made available upon request from time to time.
